This document is an electronic record in terms of the Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
1. INTRODUCTION AND ACCEPTANCE OF TERMS
1.1. This Platform, including the website shopath.in and its associated mobile applications (collectively referred to as the "Platform"), is owned, managed, and operated by SHIVANYA GROCERS PRIVATE LIMITED (hereinafter referred to as the "Company", "We", "Us", or "Our"), a private limited company incorporated under the Companies Act, 2013, having its registered operations based in Lucknow, Uttar Pradesh, India.
1.2. These Terms and Conditions ("Terms"), along with the Privacy Policy, Cookie Policy, and any other specific service agreements posted on the Platform, constitute a legally binding agreement between the Company and any individual, entity, or browser who accesses, registers, or transacts on the Platform (referred to as "User", "You", "Your", or "Customer").
1.3. By accessing, downloading, installing, browsing, or using the Platform, you acknowledge that you have read, understood, and unconditionally agreed to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all usage of the Platform and uninstall any related software applications.
2. LEGAL ELIGIBILITY TO CONTRACT
2.1. Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Individuals who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including un-discharged insolvents, minors (under the age of 18 years), or persons of unsound mind, are strictly prohibited from transacting or registering on this Platform.
2.2. If you are a minor (under the age of 18 years), you shall not register as a User of the Platform and shall not transact on or use the Platform. If you wish to use or transact on the Platform, such use or transaction may be made only by your legal guardian or parents who have registered users of the Platform. The Company reserves the right to terminate your membership and/or refuse to provide you with access to the Platform if it is discovered or brought to the Company’s notice that you are under the age of 18 years.
2.3. By accepting these Terms, you declare that you possess the complete legal capacity and authority to bind yourself or the legal entity you represent to these structural clauses.
3. ACCOUNT REGISTRATION, SECURITY, AND OTP VALIDATION
3.1. To purchase products, schedule deliveries, or access premium features of the Platform, you are required to register and create an account by providing accurate, current, and complete personal credentials, including but not limited to your full legal name, a valid mobile number, an active email address, and precise delivery address coordinates.
3.2. Authentication Mechanism: The Platform utilizes a secure passwordless login system driven by a unique One-Time Password (OTP) sent via SMS or WhatsApp to your registered mobile number. You acknowledge that you are entirely responsible for restricting access to your mobile device and preventing unauthorized exposure of the OTP.
3.3. Account Confidentiality: You are solely liable for all activities, actions, orders, financial liabilities, and transactions that occur under your registered account. The Company shall not be responsible or liable, directly or indirectly, for any loss, damage, or unauthorized transaction arising from your failure to protect your mobile device or OTP credentials.
3.4. Information Accuracy: If any information provided by you is found to be untrue, inaccurate, outdated, or incomplete, or if the Company has reasonable grounds to suspect such information is false, the Company reserves the absolute right to indefinitely suspend, terminate, or block your account and refuse any current or future access to the Platform.
4. SCOPE OF SERVICES & HYPER-LOCAL MARKETPLACE MODEL
4.1. Technological Aggregator Framework: Shopath operates strictly as an online hyper-local e-commerce marketplace platform. The Company provides an internet-based technological venue that aggregates neighborhood brick-and-mortar merchant stores, supermarkets, and local retail vendors (referred to as "Merchants" or "Sellers") and showcases their products to Users within designated delivery radiuses.
4.2. Bipartite Contract of Sale: You explicitly recognize and agree that the commercial/contractual terms for the sale of any product showcased on the Platform are bipartite agreements between you and the respective Merchant Store. These terms include, without limitation, price, shipping costs, payment methods, delivery dates, warranties, and after-sales services related to the products. The Company does not have any control, ownership, or determine such commercial terms.
4.3. No Representation of Goods: The Company does not implicitly or explicitly support, endorse, or guarantee the sale or purchase of any products on the Platform. The Company accepts no liability for any errors, omissions, or misrepresentations made by Merchants, whether on behalf of themselves or third parties, regarding product features, freshness, weight, or availability.
4.4. Logistics and Delivery Management: To facilitate consumer convenience, the Company coordinates third-party delivery executives, independent contractors, or logistics partners (referred to as "Delivery Partners") to pick up packed orders from the Merchant's physical location and deliver them to your specified address. The Delivery Partners are independently responsible for execution, and the Company acts solely as an intermediary interface for tracking and notification.
5. PRODUCT DISPLAY, PACKAGING, AND PRICING POLICY
5.1. Pricing Discrepancies: The prices of products listed on the Platform are provided directly by the Merchants or aligned with the Maximum Retail Price (MRP) set by manufacturers. While the Company employs automated validation checks to ensure accuracy, typographical errors, system lags, or real-time store changes may lead to pricing mismatches. In such instances, the Merchant reserves the right to modify or cancel an order prior to dispatch.
5.2. Dynamic Service & Convenience Fees: In addition to the physical cost of goods, the total billing invoice may include dynamic platform convenience fees, handling charges, night delivery premiums, weather-related surge pricing, and dynamic delivery distance fees. All such operational fees will be calculated and clearly displayed to the User on the checkout page before order confirmation.
5.3. Taxation: All commercial orders are subject to applicable government statutory levies, including Central Goods and Services Tax (CGST), State Goods and Services Tax (SGST), and Integrated Goods and Services Tax (IGST), which are factored into the final itemized checkout receipt.
5.4. Visual Disclaimers: Product images, color schemes, and packaging labels displayed on the Platform are for illustrative and representational purposes only. The Company does not guarantee that the actual physical packaging or structural appearance of the delivered product will exactly match the digital image displayed on your mobile device.
6. ORDER PLACEMENT, CANCELLATION, AND KILL-WINDOW POLICIES
6.1. Order Confirmation: The placement of an order by a User constitutes an offer to purchase from the selected Merchant. The contract is deemed finalized only when the Merchant accepts the order and a confirmation notification is dispatched via the Platform interface.
6.2. Cancellation by the User:
- Immediate Window: A User can cancel an order without penalty only within the specified "Kill-Window" (typically 60 seconds from order placement) or before the Merchant Store changes the status to "Accepted" or "Preparing".
- Post-Acceptance Cancellation: Once an order has been accepted, packed, or assigned to a Delivery Partner, any cancellation request initiated by the User will attract a Cancellation Fee equal to 100% of the total order value. This fee is levied to compensate the Merchant for wasted perishables and the Delivery Partner for logistical allocation.
6.3. Cancellation by the Platform / Merchant: The Company and its associated Merchants reserve the absolute right to cancel any confirmed order without incurring liability if:
- The requested items are out of stock, damaged, or fail quality control parameters at the merchant facility.
- The designated delivery address falls outside our functional operations or is inaccessible due to severe weather, local riots, blockades, or structural force majeure events.
- The User fails to respond to authentication calls or verification checks initiated by the Delivery Partner upon arrival at the perimeter.
- There is a reasonable suspicion of fraudulent activity, account abuse, or breach of these Terms by the User.
7. PERISHABLES, FRESHNESS, RETURNS, AND REFUND LAWS
7.1. Perishable Goods Policy: Products belonging to specific categories—including fresh dairy, milk, cheese, bread, paneer, fresh fruits, vegetables, frozen goods, and raw non-vegetarian items (such as poultry, chicken, fish, or mutton products)—are strictly Non-Returnable and Non-Exchangeable once the delivery is completed. This restriction is mandatory to preserve public health standards and prevent cross-contamination.
7.2. Non-Perishable Returns: For non-perishable packaged consumer goods, returns or replacements will be entertained only if:
- The product delivered is expired or past its "Best Before" date at the time of delivery.
- The outer seals or physical packaging are visibly punctured, broken, or tampered with before arrival.
- An entirely incorrect brand, variant, or item weight was supplied by the Merchant.
7.3. Reporting Timeline: Any claim regarding damaged goods, missing items, or weight shortfalls must be registered with the Shopath Customer Support team within 2 hours of the recorded delivery timestamp. The user must provide concrete photographic or video evidence of the discrepancy through the support window.
7.4. Refund Processing Framework:
- For approved cancellations or valid returns, refunds for prepaid transactions (Net Banking, UPI, Credit/Debit Cards, Mobile Wallets) will be processed automatically back to the original source payment instrument.
- The operational timeline for the reflection of funds rests entirely with the banking networks and payment gateways, typically requiring 5 to 7 business days.
- For Cash on Delivery (COD) scenarios where a refund is approved, the Company may credit the equivalent amount into the User’s verified Shopath Wallet link or request digital banking details for an electronic transfer.
8. LOGISTICS, DELIVERY EXECUTION, AND CODE OF CONDUCT
8.1. Delivery Attempts: Delivery Partners will make a reasonable attempt to deliver the goods to the exact doorstep or physical perimeter drop-zone provided by the User. If the entry to a housing complex, high-rise apartment, or office park is restricted by security guards, the User must come to the gate to collect the package.
8.2. Unclaimed Deliveries: If an order cannot be delivered due to the User providing an incorrect address, wrong contact number, or being entirely unreachable for more than 10 minutes after the Delivery Partner arrives at the site, the order will be marked as "Unclaimed Delivery". The User will not be entitled to any refund or replacement for such orders, and the full bill amount will be retained by the platform to settle operational merchant and rider payouts.
8.3. Code of Conduct: Users shall treat Delivery Partners with utmost dignity, respect, and professional courtesy. Any form of physical abuse, verbal harassment, threatening behavior, or discriminatory remarks targeted at our logistics personnel or support staff will result in the immediate and permanent termination of your Shopath account, alongside potential criminal legal actions under applicable Indian penal statutes.
9. BEVERAGES, CIGARETTES, AND AGE-RESTRICTED PRODUCTS
9.1. The Platform may showcase age-restricted commodities, tobacco products, cigarettes, or specialized items based on local municipal license provisions.
9.2. By placing an order for any age-restricted products, you explicitly declare that you meet the minimum statutory age requirement mandated by local state laws.
9.3. The Delivery Partner reserves the unconditional right to demand physical verification of a government-issued photo identity proof (such as a PAN Card, Aadhaar Card, or Driving License) from the recipient at the time of drop-off. If the recipient fails to produce adequate proof, or is found to be a minor, the delivery will be immediately cancelled, and a 100% administrative fee will be withheld from the transaction amount.
10. INTELLECTUAL PROPERTY AND BRAND PROTECTION
10.1. All digital materials, assets, and properties structured on the Platform—including but not limited to source codes, front-end designs, Next.js architecture configurations, databases, graphics, interfaces, system logs, audio clips, proprietary algorithms, trademark names, and the "Shopath" logo—are the exclusive intellectual property of SHIVANYA GROCERS PRIVATE LIMITED or its licensors, protected under the Indian Copyright Act, 1957, Trade Marks Act, 1999, and international patent laws.
10.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial shopping purposes.
10.3. You shall not copy, reproduce, reverse-engineer, decompile, crawl, scrape, deep-link, frame, modify, distribute, or create derivative works from any part of this Platform’s technological framework without obtaining an explicit, signed, written authorization from the Board of Directors of Shivanya Grocers Private Limited.
11. TECHNICAL LIMITATION OF LIABILITY AND INDEMNIFICATION
11.1. Platform Availability Disclaimer: The Platform and the services are provided on an "as is" and "as available" basis without any express or implied representations, endorsements, or warranties. The Company does not guarantee that the software application will operate entirely error-free, uninterrupted, or free from server bugs, malware, or server downtime.
11.2. Limitation Clauses: To the maximum extent permitted by applicable law, SHIVANYA GROCERS PRIVATE LIMITED, its managing directors, stakeholders, investors, and operating employees shall not be held liable for any direct, indirect, incidental, punitive, special, or consequential losses, damages, or injuries arising from:
- The consumption or use of third-party manufactured products purchased through Merchant stores (including issues involving food safety, adulteration, manufacturing defects, or misleading labels).
- Technical glitches, server timeout errors, failures in payment gateway responses, or data breaches originating outside our cloud security protocols.
- Delays or non-performance caused directly by force majeure disruptions, including acts of God, strikes, pandemic lockouts, government regulatory bans, or internet infrastructure outages.
11.3. Indemnity Obligations: You agree to fully indemnify, defend, and hold harmless Shivanya Grocers Private Limited, its parent corporate entities, directors, affiliates, and representatives from and against any third-party claims, structural liabilities, legal damages, losses, costs, or attorney expenses arising out of your misuse of the Platform, breach of these consolidated Terms, or violation of any state/central laws or third-party consumer rights.
12. COMPLIANCE, ANTI-FRAUD, AND TERMINATION POLICY
12.1. The Company reserves the absolute right to actively monitor user accounts, transaction trends, and review patterns. If our automated risk-mitigation algorithms detect any anomalous behavior, voucher-code manipulation, creation of fake duplicate accounts to exploit discounts, chargeback fraud, or systemic abuse of our return policies, the Company will terminate your account immediately without prior warning.
12.2. Upon termination of your account by the Company, your right to use the Platform and its hyper-local services ceases instantly. Any accumulated loyalty points, wallet cash back, or pending promotional balances will be rendered null and void.
13. GOVERNING LAW, GRIEVANCE REDRESSAL, AND JURISDICTION
13.1. Governing Law: These Terms, along with all operational guidelines and contractual mandates, shall be governed, interpreted, and construed strictly in accordance with the substantive laws of the Republic of India.
13.2. Grievance Redressal Officer: In compliance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, the name and contact details of the designated Grievance Officer for Shopath are provided below:

13.3. Exclusive Dispute Jurisdiction: Any dispute, controversy, claim, or legal action arising out of or directly relating to these Terms, including their validity, interpretation, or breach, shall be submitted to the exclusive jurisdiction of the competent civil courts located in Lucknow, Uttar Pradesh, India.
14. DAILY SUBSCRIPTION SERVICES
14.1. Subscription Management Fee: To avail the automated daily delivery service, the User is required to pay a non-refundable upfront Subscription Management Fee (e.g., ₹30 per item) for a 30-day billing cycle. This fee covers the operational costs of maintaining automated schedules and assigning dedicated Merchant delivery slots.
14.2. Product Cost & Wallet Deductions: The Subscription Management Fee does NOT include the cost of the actual physical products (e.g., milk, bread). The User must maintain a sufficient prepaid balance in their Shopath Wallet. The cost of the product will be automatically deducted from the Wallet on a daily basis upon successful delivery confirmation.
14.3. Merchant Delivery Slots: Subscriptions are fulfilled directly by hyper-local Merchants based on their selected operational time slots (e.g., 7:00 AM - 9:00 AM). The Company acts solely as a technology facilitator assigning these slots. The Merchant is strictly responsible for timely morning delivery.
14.4. 30-Day Cycle and Auto-Renewal: Subscriptions operate on a strict 30-day cycle, regardless of the calendar month. The Platform will send automated renewal reminders (via SMS, WhatsApp, or Push Notifications) 3 days prior to expiration. Failure to renew the Management Fee or maintain a sufficient Wallet balance may result in immediate suspension of daily deliveries without prior notice.
